May 24, 2005

STAMFORD, CT - Wayne D. Knighton has been promoted to Corporate Executive Vice President for Operations at Time Warner Cable, it was announced today by Time Warner Cable Chairman and CEO Glenn Britt. Knighton will be responsible for overseeing the newly created Texas region.

The new Time Warner Cable region will be comprised of systems through out the state of Texas including the current Time Warner Cable divisions in Austin, Houston, San Antonio, Waco and Southwest Texas. The Dallas, Texas cable system, which is currently operated by Comcast, will become part of the new Time Warner Cable Texas region pending the closing of the Adelphia transaction. Following the pending transaction there will be a realignment of certain Comcast and Time Warner systems into more consolidated, clustered divisions across the nation. Time Warner Cable’s expanded footprint in Texas will serve approximately 2.6 million subscribers.

Since 1999, Knighton has served as Division President for Time Warner Cable’s South Carolina Division. In this position Knighton improved operations, delivering sustained growth throughout Time Warner Cable’s South Carolina footprint. Under Knighton, Time Warner Cable customers in South Carolina were the first in the country to receive HBO on Demand, one of the first to receive Digital Video Recorders (DVRs) and one of the earliest markets to make multiple room DVRs available to customers.

“Wayne’s impressive operational track record and past experience in managing multiple systems is the right fit to lead our important Texas region,” said Britt. “We expect Wayne’s move to Texas will help our continued drive to innovate, improve our marketing efforts and build on the delivery of our world class customer service.”

Wayne Knighton started at Time Warner Cable in 1992 as division president in Minnesota, where he oversaw an increase in basic cable penetration to homes passed, as well as a dramatic increase in operating profit during his tenure. Knighton’s earlier cable experience, included seven years with Cox Cable Communications both in Atlanta and Tucson as well as an executive role with Atlanta-based Southmedia Company, a small cable operator. At Cox Cable, Knighton had operating responsibility for more than half of Cox’s 23 cable systems. Knighton began his career at the Georgia Power Company in 1970 where he worked his way up from Junior Engineer to Corporate Distribution Staff Engineer by the time he left the company in 1974.

Knighton earned his Bachelor of Electrical Engineering degree from the Georgia Institute of Technology in 1970 and an MBA from Georgia State University in 1982.

Wayne and his wife, Katie, reside in Columbia, SC, but plan to move to Texas in the near future. The location of the new Regional Office has not been determined yet, but it will be co-located with one of Time Warner Cable’s operating divisions.
